1. Definitions & Scope
These Terms & Conditions (the 'Terms') set out your rights and obligations, and those of Francis James Ltd (‘we’, ‘us’, or ‘our’) when you enrol on a programme with us. When you accept your offer, register or pay any fee, you agree to these Terms and any related policies and regulations that form part of your contract.
Key definitions:

Learner / you / your: The person enrolled (or seeking to enrol) on a programme delivered by us

Programme: The academic award, and its constituent courses

Academic Year: Normally 12 months (or as defined for your programme)

Level: The stage of the degree programme, and its relevant constituent courses

Offer: Our offer to you to study on a Programme, subject to conditions

Fees: Tuition fees, registration fees, assessment fees and other required charges

Policies & Regulations: The principles, rules and requirements we set out that serve as a framework for studying with Francis James.
2. Offers, Applications & Entry Conditions
You must provide true and complete information during the application process. False or misleading information may lead to withdrawal of an offer or cancellation of enrolment.
You must provide verified copies of qualifications as required. If documents are missing or inaccurate, we may withhold or delay registration or revoke admission.
We may make reasonable changes to programme details before registration for academic or operational reasons. Where changes are substantial, we will notify you and offer options to withdraw.
3. Registration & Re‑registration
To accept your offer, you must complete registration by the deadline set by Francis James. Failure to register may result in withdrawal of your offer.
You will be asked to re-register at the start of each level of study within your programme, and may also be asked to re-register after any period of deferral. When you re-register you will be asked to accept the current Terms. Access to materials or progression may be restricted until registration is complete.
4. Delivery of Programmes, Changes & Discontinuation
We will deliver your programme with reasonable care and skill, and in accordance with published descriptions. Minor variations to courses, schedules or delivery methods may occur and will be notified to learners as soon as possible.
5. Fees, Payment, Late Payment & Sanctions
You agree to pay all fees by the stated deadlines. Payment installment plans must be agreed before registration. Late or non‑payment may lead to sanctions such as restricted access to services, suspension or withdrawal.
6. Withdrawal, Suspension & Interruption of Studies
You may withdraw or suspend your studies in line with our Withdrawal, Deferral and Readmission Policy. Refunds or fee liabilities for withdrawal are subject to our Withdrawal, Deferral and Readmission Policy.
We may terminate registration for misconduct, academic failure or breach of these Terms. Fees will not be refunded where we have terminated registration.
7. Learner Responsibilities & Conduct
Learners must comply with these Terms and all Francis James Ltd policies. This includes attending required sessions, submitting original work and treating staff and peers with respect. Misconduct may lead to disciplinary action or termination of registration.
8. Intellectual Property, Materials & Licensing
Learning materials and resources are for learner use only. Redistribution or commercial use is prohibited. We may use anonymised work for quality assurance or promotional purposes.
9. Data Protection & Confidentiality
We process personal data in line with the UK GDPR and our Privacy Notice. Data may only be shared with regulators, partners or government agencies as required and permitted. Learners must not disclose confidential information about staff or peers without authorisation.
10. Liability & Force Majeure
Our liability is limited to direct losses up to the amount of fees paid in the relevant academic year. We are not liable for indirect or consequential loss. We are not responsible for failure to deliver due to events beyond our reasonable control, such as natural disasters or regulatory changes.
11. Changes to Terms, Policies & Regulations
We may revise these Terms to reflect changes in law or operational requirements. Substantial changes will be communicated before implementation.
12. Complaints, Appeals & Disputes
Learners may use our complaints and appeals procedures to resolve issues. If unresolved internally, students may refer eligible cases to the Office of the Independent Adjudicator (OIA). These Terms do not affect statutory consumer rights.
13. Governing Law & Miscellaneous
These Terms are governed by the laws of England & Wales. If any part is found invalid, the remainder continues in effect. You cannot transfer your contract without written consent. Policies referenced via our website or virtual learning environment form part of this contract.
